Abstract
This thesis focuses on the impact of corporate governance on the financial performance of manufacturing firms in Japan and Indonesia during the period of market uncertainty from 2020 to 2024. As global pressures arising from the COVID-19 pandemic increase, effective governance mechanisms become essential in maintaining firm performance and stability. Using a quantitative approach, this study employs comparative regression analysis based on data from annual reports, focusing on key corporate governance variables including board independence, ownership concentration, director remuneration, and audit committee independence, with financial performance measured by Return on Assets (ROA). The findings indicate that corporate governance has a stronger influence on firm performance in Indonesia than in Japan. In Indonesia, as an emerging economy, board independence, ownership concentration, and director remuneration show significant positive effects, while audit committee independence is not significant. In contrast, only director remuneration is significant in Japan, highlighting the importance of incentive alignment in a more mature governance environment. Overall, the results suggest that the effectiveness of corporate governance varies depending on institutional context and market characteristics, providing insights for improving governance practices in both emerging and developed economies.
